Chris Rahne is JWI's Senior Valuation Analyst. Chris joined JWI has more than 30 years of consulting experience in the valuation of stocks and company debt instruments and APAs. In addition, Mr. Rahne has significant experience in bankruptcy valuation process regarding company financials and assets. He has professional training as a certified public accountant and chartered financial analyst. Chris was recently the leader of the financial and pricing services group of a major public accounting and financial advisory firm. He previously worked at the S.E.C. and the F.B.I. He took postgraduate courses in quantitative methods and accounting at The George Washington University and obtained an M.B.A. from University of North Florida; and B.S. in Business from Jacksonville University.

Creditors Committee / Ad-Hoc Committee

  • (Ongoing confidential matter) Forensics consultant to the Ad-Hoc Committee of several hundred investors of a failed investment scheme with operations in the U.K., Southeast Asia and Australia.
  • R.H. Macy. – Represented unsecured creditors’ committee. Chris valued the Macy’s tradename, and performed financial analyses relating to the Macy credit card. The analyses for such tasks included profitability analyses of the prominent US department stores, analyses of the Macy credit card customers, analyses of comparable transactions for credit card and tradename sales. Undertook extensive written correspondence with the bankruptcy mediator, Cyrus Vance, Sr.
  • Plaid Clothing Group (includes Arrow Brand Clothing and Palm Beach Suits) – Represented the unsecured creditors’ committee. Chris valued brand names and subsidiary manufacturing licenses.
  • New Hampton, Inc. (retail catalog firm) – Represented the unsecured creditors’ committee. Chris conducted a valuation of the customer lists, and performed extensive credit analyses before and after the filing dates for insolvency. Such analyses encompassed extensive working capital and solvency analyses.
  • Farmland Industries (at the time of the bankruptcy filing, this was the largest agricultural cooperative in North America) – Chris supervised analyses encompassing working capital and solvency. He also supervised the valuations of several subsidiary companies and firm assets. Chris was project editor for the report to the creditors committee.

Debtor / Company-Side

  • Financial advisor to debtor-in-possession (Subchapter V Chapter 11) privately-held parking operators with almost 100 locations. Chris analyzed almost 100 leases and management contracts as part of the analyses used in the confirmed Chapter 11 plan.

Valuation / Litigation

  • Supervised the valuation analyses and valuation audits of private equity and hedge funds.
    • The investment sectors included in these analyses represent value investing, distressed, health care, short selling, volatility, international (Indonesia, Vietnam, China, Korea, Japan, United Kingdom, France, Canada, Germany and Netherlands), European special investments (CLOs and CDOs), real estate, distressed residential mortgages and sovereign debt.
    • The investments encompassed in the analyses and review audits encompass collateralized debt obligations, credit default swaps, currency forwards, stock warrants and options, private companies, restricted securities, convertible preferred and debt securities and residential mortgage backed securities, commercial mortgage backed securities, real property loans, real property equity, bank core deposits, interest rate swaps and pipes.
  • Developed litigation analysis for commercial mortgage backed portfolio.
  • Valuation audits are also conducted for public REITS, business development corporations, CDO trusts, broker-dealers, investment management companies, mutual funds, public and private banks, public companies and non- profit entities.
  • Valued common stock, preferred stock, partnership interests, options, warrants, promissory notes and subordinated debentures.
  • Identified and determined the value of intangible assets.
  • Developed an industry specialization in purchase price allocations for institutional money management firms and mutual funds.
  • Valued the common stock of client companies for purposes of merger/acquisition, estate planning, employee stock ownership plans and proxy statements.

Accounting / Financial Statement

  • Member of former firm’s task force for FASB 157 implementation.

Tax / Pricing

  • Represented Executor for an estate in probate court in New York, New Hampshire and Florida. Preformed business valuations for tax purposes. Conducted a feasibility analysis for a captive insurance company.
  • Supervised the review of investments underlying former firm’s pricing review of certain Pension Benefit Guarantee Corporation’s pension plans.
  • Conducted international tax transfer pricing studies
  • Served as Expert Witness for stock options and business valuations in New York Supreme Court and U.S. Bankruptcy Court and for broker relationships in Dade County Court.
  • Performed the analyses and research for the Internal Revenue Service for the valuation areas associated with Mandelbaum v. Commissioner, T.C. Memo 1995-255 (1995).
  • Performed valuation studies for transaction pricing and structure (acquisition, divestiture, reorganization), taxation (federal income, gift and estate), financing (securitization, recapitalization, restructuring), bankruptcy court, litigation and management information and planning.
  • Prepared a valuation study for U.S. Tax Court.
  • Performed an extensive analysis of the restricted discounts associated with the non-voting common shares of a NYSE listed company for taxation purposes.

SEC / FBI

  • Analyzed financial statements for a variety of SEC reports to ensure adequate disclosure for informed investment decisions.
  • Examined initial public stock offerings, foreign stock offerings, mergers, spin-offs, leveraged buy-outs, debentures and corporate liquidations.
  • Researched, developed and implemented procedures for a nationwide uniform data reporting system.
  • Participated in accounting task forces for the Foreign Corrupt Practice Act and with the Criminal Fraud Unit of the Department of Justice.
